Media Package Terms & Conditions

Skyline Media Co, LLC — Ultra4 Racing Event Media Services

These Terms & Conditions (the “Agreement”) govern the purchase of event media packages (the “Package”) from Skyline Media Co, LLC (“Skyline,” “we,” “us”) by the purchasing racer, team, or authorized representative (the “Client,” “you”) in connection with the Ultra4 racing event identified at checkout (the “Event”).

PLEASE READ THIS AGREEMENT CAREFULLY. By checking the acceptance box and completing your purchase, you agree to be bound by this Agreement in full. If you do not agree, do not complete your purchase.

You represent that you are at least 18 years of age and that, if you are purchasing on behalf of a race team, business, or other entity, you have the authority to bind that entity to this Agreement.

1. Services and Deliverables

Skyline will capture photo and/or video media of the Client’s vehicle and team at the Event using ground, gimbal, and unmanned aircraft (drone/FPV) platforms, and will deliver the edited media assets specified in the Client’s selected Package tier as listed on the invoice or booking form (the “Deliverables”).

Deliverables are defined by the number and type of edited assets (e.g., one edited highlight reel, a set number of edited photographs) — not by the total runtime, duration, or volume of footage captured.

Reel length. Unless a different length is stated in the Package description, each edited reel will be between thirty (30) seconds and one (1) minute in length. Skyline determines the final runtime within that range in its sole editorial judgment, based on the quality and quantity of usable footage obtained at the Event. A reel delivered at the shorter end of that range is a complete and conforming Deliverable and is not grounds for a refund, discount, credit, or re-edit.

Where limited usable footage of the Client’s vehicle was obtainable — including as a result of a DNF, mechanical failure, early retirement, shortened race time, grounded aerial operations, or restricted course access — Skyline may deliver a reel shorter than thirty (30) seconds, and will inform the Client of the reason. Such delivery satisfies Skyline’s obligations under this Agreement and does not entitle the Client to any refund, discount, or credit.

Raw, unedited footage is included only where the Client’s Package expressly includes it. Raw footage is not sold on a standalone basis and is available only as an add-on to a Package that includes at least one edited reel. Raw footage is delivered as-is: unedited, ungraded, and unculled beyond identification of the Client’s vehicle, with no editing, color-grading, stabilization, or quality obligation, and no minimum duration or clip count. The quantity of raw footage delivered depends entirely on what was captured of the Client’s vehicle at the Event. All footage not included in the Client’s Package remains the exclusive property of Skyline and may be available under a separate written agreement.

2. No Guarantee of Specific Footage or Outcomes

Motorsport media production is subject to conditions beyond Skyline’s control. The Client acknowledges and agrees that Skyline does not and cannot guarantee:

  • Coverage of any specific moment, race segment, obstacle, pass, crash, or finish;
  • Any minimum quantity or duration of footage of the Client’s vehicle, including where the Client’s vehicle experiences a mechanical failure, DNF, DNS, early retirement, or shortened race time;
  • Aerial (drone/FPV) coverage, which may be restricted or grounded at any time by FAA regulations, temporary flight restrictions, weather, event officials, race organizers, safety personnel, or equipment failure;
  • Specific angles, lighting conditions, or positioning, which depend on course access granted by event organizers;
  • Media of any particular quality standard beyond Skyline’s professional judgment of usable, deliverable content.

Reduced on-track time for any reason (including DNF or mechanical failure) does not entitle the Client to a refund, discount, or credit. Skyline will deliver the best available edit from the footage actually captured.

3. Payment

The full Package price is due at the time of online booking and prior to the Event. All payments are non-refundable except as expressly provided in Section 5. Skyline has no obligation to perform services or release Deliverables until payment has been received in full. Prices are as stated on the invoice; any applicable taxes or payment-processing fees are the Client’s responsibility where itemized.

4. Delivery

Skyline will deliver the Deliverables electronically (via download link or file-transfer service) within seven (7) calendar days after the final day of the Event, unless a different timeline is stated on the invoice. Delivery timelines may be extended by delays caused by the Event schedule, weather, or other circumstances outside Skyline’s control; Skyline will notify the Client of any expected delay.

Download links remain active for thirty (30) days from delivery. The Client is solely responsible for downloading and backing up the Deliverables within that window. Skyline may, but is not obligated to, retain project files or footage after sixty (60) days from delivery, and retrieval after that period (if available) may incur an archive fee.

Deliverables are deemed accepted upon delivery unless the Client notifies Skyline in writing of a material, objective defect (e.g., corrupted file, wrong vehicle featured) within seven (7) days of delivery.

5. Refunds, Revisions, and Cancellation

No refunds are provided based on subjective dissatisfaction with editing style, music selection, pacing, color grading, shot selection, runtime, or the quantity or perceived quality of footage, provided Skyline has delivered the number and type of edited assets specified in the Package.

Revisions: The Package includes one (1) round of reasonable minor revisions per video deliverable (e.g., music swap, title/name correction, sponsor logo placement, clip substitution from available footage), requested in writing within seven (7) days of delivery. Additional revisions, re-edits, or new deliverables are billed at Skyline’s then-current hourly rate.

Client cancellation: Cancellations more than fourteen (14) days before the first day of the Event receive a credit (not a refund) toward a future event, valid for twelve (12) months. Cancellations within fourteen (14) days of the Event forfeit the full Package price, as Skyline will have reserved crew, equipment, travel, and capacity.

Skyline non-performance: If Skyline fails to deliver any Deliverables due solely to its own fault (not due to Event cancellation, Client conduct, or force majeure), the Client’s exclusive remedy is a refund of the Package price paid.

6. Event Cancellation and Force Majeure

If the Event is cancelled, postponed, or materially shortened by the race organizer, weather, government action, or any other cause beyond Skyline’s control, Skyline will offer the Client a credit for the full amount paid, applicable to a future event within twelve (12) months. Skyline is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including weather, natural disaster, airspace restrictions, government or event-organizer action, illness or injury, equipment theft, or transportation failure.

7. Intellectual Property and License to Client

Skyline retains all right, title, and interest, including copyright, in and to all media captured and produced under this Agreement. Upon receipt of full payment, Skyline grants the Client a non-exclusive, non-transferable, perpetual, worldwide license to use the Deliverables for:

  • Personal use (private viewing, personal archives); and
  • Posting to the Client’s own social media accounts and personal or team website, provided each post credits Skyline Media Co (e.g., a tag of Skyline’s account or the caption “Media by Skyline Media Co”).

The following uses are NOT included and require a separate written commercial license from Skyline:

  • Use by or on behalf of sponsors, including sponsor social accounts, advertising, or promotional materials;
  • Paid advertising or boosted posts; broadcast, streaming-channel, or editorial licensing; merchandise; and any resale, sublicensing, or distribution to third parties.
  • Removing, cropping out, or obscuring watermarks or credits, or materially re-editing video Deliverables without Skyline’s written consent.

Monetization of the Client’s own social channels (e.g., standard creator monetization on posts to the Client’s accounts) is permitted; licensing the media itself to third parties is not.

Raw footage and Client edits. Where a Package includes raw footage, any edit, compilation, or derivative work the Client creates from that footage remains subject to the credit requirement above, and may not be presented, described, or captioned as a Skyline Media Co production, edit, or grade. A sponsor or commercial usage license may be purchased at checkout or at any time thereafter by contacting Skyline.

8. Skyline’s Promotional Rights; Likeness Release

Skyline retains the unrestricted right to use all footage and photographs captured at the Event — including media featuring the Client, the Client’s vehicle, team members, and sponsors’ marks as they appear on the vehicle — for Skyline’s portfolio, website, social media, demo reels, contest entries, and marketing. The Client grants, and represents it has authority to grant on behalf of its team members, a release for the use of names, images, likenesses, and vehicle liveries for these purposes, without additional compensation.

9. Drone and Aerial Operations

All unmanned aircraft operations are conducted in accordance with applicable FAA regulations and event-organizer requirements. Flight operations may be suspended or cancelled at any time at the discretion of the pilot in command, event officials, or safety personnel. Suspension or absence of aerial coverage for regulatory, safety, or airspace reasons is not a breach of this Agreement and does not entitle the Client to any refund, discount, or credit.

10. Client Responsibilities

The Client will provide accurate vehicle, class, and race-number information at booking; will inform Skyline of any livery or number changes before the Event; and will reasonably cooperate with pit-area and staging access where coverage there is included. Skyline is not responsible for missed coverage resulting from inaccurate information supplied by the Client. The Client is responsible for its own conduct and that of its team toward Skyline crew; abusive conduct may result in termination of services without refund.

11. Limitation of Liability

To the maximum extent permitted by law, Skyline’s total aggregate liability arising out of or related to this Agreement is limited to the amount actually paid by the Client for the Package. In no event will Skyline be liable for indirect, incidental, consequential, special, or punitive damages, including lost sponsorship value, lost profits, or lost promotional opportunity, even if advised of the possibility. Skyline is not liable for loss of footage due to equipment failure, media corruption, theft, or accident; in the event of a total loss of the Client’s footage before delivery, the Client’s exclusive remedy is a refund of the Package price.

12. Chargebacks and Disputes

The Client agrees to contact Skyline in writing and allow ten (10) business days to resolve any dispute before initiating a credit-card chargeback or payment dispute. Initiating a chargeback for services rendered in accordance with this Agreement constitutes a breach, and the Client will be responsible for the disputed amount plus reasonable costs of collection, including chargeback fees and attorney’s fees.

13. Electronic Acceptance and Records

The Client consents to transact electronically. Checking the acceptance box and completing checkout constitutes the Client’s electronic signature and has the same legal force and effect as a handwritten signature under the federal E-SIGN Act and applicable Montana law. The Client agrees that Skyline’s records of the acceptance — including the date, time, IP address, and Package selected — are admissible evidence of this Agreement and of the Client’s assent to it, and the Client waives any objection to enforceability on the basis that the Agreement was accepted electronically.

Skyline will make a copy of this Agreement available at the time of purchase and by request thereafter. The Client is responsible for retaining a copy for its records.

14. Changes to These Terms

Skyline may update this Agreement at any time by posting a revised version with a new “Last Updated” date. The version in effect at the time of the Client’s purchase governs that purchase and will not be changed retroactively. Revised terms apply only to purchases made after they are posted.

15. General

Governing law and venue: This Agreement is governed by the laws of the State of Montana, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Gallatin County, Montana, and the parties consent to that jurisdiction and venue.

Independent contractor: Skyline is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship.

Entire agreement; amendments; severability: This Agreement, together with the invoice or booking form, is the entire agreement between the parties and supersedes all prior discussions. Any amendment must be in writing and signed by both parties. If any provision is held unenforceable, the remainder remains in full force. Skyline’s failure to enforce any provision is not a waiver of it.
